SISU WALLET FORENSICS — END USER LICENSE AGREEMENT (EULA) Version 1.0 — Effective March 18, 2026 This End User License Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Sisu Forensics, LLC ("Sisu," "we," "us," or "our") governing your access to and use of the Sisu Wallet Forensics platform, including the web dashboard, API, reports, on-chain attestations, and all related services (collectively, the "Service"). By accessing or using the Service, clicking "I Accept," or using any API key issued by Sisu, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not use the Service. ──────────────────────────────────────────────────────────────────────────────── 1. DEFINITIONS 1.1 "Forensic Trace" means the output generated when the Service analyzes a blockchain wallet address or transaction hash, including risk scores, sanctions screening, cross-chain mapping, and associated metadata. 1.2 "Report" means any PDF, text, JSON, or on-screen output produced by a Forensic Trace. 1.3 "On-Chain Attestation" means a cryptographic hash of a Forensic Trace permanently recorded on a public blockchain (currently Base L2). 1.4 "API Key" means the unique credential issued to authenticate your access to the Service. 1.5 "Demo Mode" means access to the Service without an API key, subject to daily rate limits and reduced features. 2. LICENSE GRANT 2.1 Subject to your compliance with this Agreement and your applicable subscription plan, Sisu grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. 2.2 You may use Reports in legal proceedings, regulatory filings, and internal compliance reviews. Reports may be shared with legal counsel, regulators, and courts as evidence. 2.3 You may NOT resell, redistribute, sublicense, or white-label the Service or its output without a separate written agreement from Sisu. 3. ACCEPTABLE USE 3.1 You agree to use the Service only for lawful purposes, including but not limited to: anti-money laundering (AML) compliance, fraud investigation, sanctions screening, due diligence, and law enforcement support. 3.2 You shall NOT: (a) Use the Service to facilitate money laundering, sanctions evasion, terrorism financing, or any illegal activity; (b) Attempt to reverse-engineer, decompile, or extract source code from the Service; (c) Circumvent rate limits, authentication, or access controls; (d) Share, publish, or transfer your API key to unauthorized parties; (e) Submit false, fabricated, or misleading data to the Service; (f) Use the Service to harass, stalk, or infringe on the privacy rights of individuals beyond what is necessary for legitimate compliance or investigative purposes; (g) Use automated means to exceed your plan's trace limits. 4. DATA AND PRIVACY 4.1 PUBLIC BLOCKCHAIN DATA. The Service analyzes publicly available blockchain transaction data. Sisu does not access, store, or process private keys, seed phrases, or wallet credentials. 4.2 USER DATA. We collect your email address for account management and API key delivery. We do not sell your personal data to third parties. 4.3 REPORT RETENTION. Forensic Traces are cached for the duration of your session. Sisu does not permanently store the full content of your Reports unless you opt into long-term storage (future feature). 4.4 ON-CHAIN ATTESTATIONS. On-chain attestations are permanent and immutable. They contain only a cryptographic hash of the investigation — not the underlying data. Once recorded, attestations cannot be deleted or modified. 4.5 ZK-PROOF MODE. When using ZK-Proof mode, the Service generates a cryptographic attestation without disclosing the wallet address or transaction details in the output. 4.6 SANCTIONS DATA. The Service screens against U.S. Treasury OFAC, EU Consolidated Sanctions, UN Security Council, UK OFSI, and the Chainalysis on-chain oracle. Results are informational and should be verified independently. Sisu is not a designated sanctions screening provider under any regulatory framework. 5. INTELLECTUAL PROPERTY 5.1 The Service, including its algorithms, forensic methodologies, risk scoring models, consensus protocol, and user interface, are the intellectual property of Sisu Forensics, LLC and are protected by applicable copyright, trade secret, and other laws. 5.2 You retain ownership of the data you submit (wallet addresses, transaction hashes). Sisu retains ownership of the analytical output, risk scoring, and report formatting. 5.3 You are granted a license to use Reports as described in Section 2. This does not transfer ownership of the underlying methodology. 6. SUBSCRIPTION AND PAYMENT 6.1 Paid plans are billed through Stripe. By subscribing, you agree to Stripe's Terms of Service in addition to this Agreement. 6.2 Subscription fees are non-refundable except as required by applicable law or at Sisu's sole discretion. 6.3 Trial passes issued at Sisu's discretion expire at the stated date and time. Unused traces do not carry over. 6.4 API keys are personal to the account holder and may not be shared. Sisu reserves the right to revoke keys used in violation of this Agreement. 7. DISCLAIMERS 7.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SISU MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 7.2 FORENSIC TRACES ARE INFORMATIONAL TOOLS. They do not constitute legal advice, financial advice, or a definitive determination of guilt or innocence. Users should exercise independent judgment and consult qualified professionals. 7.3 RISK SCORES are computed algorithmically based on publicly available data and heuristic analysis. They may contain false positives or false negatives. Sisu does not guarantee the accuracy, completeness, or timeliness of any data. 7.4 BLOCKCHAIN DATA is sourced from third-party APIs and public nodes. Sisu is not responsible for errors, omissions, or delays in third-party data sources. 8. LIMITATION OF LIABILITY 8.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, SISU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. 8.2 SISU'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO SISU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 9. INDEMNIFICATION 9.1 You agree to indemnify, defend, and hold harmless Sisu, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) Your use of the Service; (b) Your violation of this Agreement; (c) Your violation of any law or the rights of any third party. 10. TERMINATION 10.1 Sisu may suspend or terminate your access at any time for violation of this Agreement, non-payment, or at our sole discretion with reasonable notice. 10.2 Upon termination, your API keys are immediately revoked. You may retain Reports generated before termination. 10.3 Sections 5, 7, 8, 9, and 11 survive termination. 11. GOVERNING LAW AND DISPUTE RESOLUTION 11.1 This Agreement is governed by the laws of the State of Delaware, without regard to conflict of laws principles. 11.2 Any disputes arising under this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. 11.3 The arbitration shall be held in Wilmington, Delaware, or remotely at the parties' mutual agreement. 12. MISCELLANEOUS 12.1 ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between you and Sisu regarding the Service and supersedes all prior agreements. 12.2 AMENDMENTS. Sisu may update this Agreement by posting the revised version with a new effective date. Continued use of the Service after the update constitutes acceptance. 12.3 SEVERABILITY. If any provision is found unenforceable, the remaining provisions remain in full force. 12.4 WAIVER. Failure to enforce any provision does not constitute a waiver of that provision. 12.5 ASSIGNMENT. You may not assign this Agreement without Sisu's prior written consent.
